Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://leoochocolatier.com/ website (the “Service”) operated by Leoo Chocolatier (“us”, “we”, or “our”).
Your access to and use of the website is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the website.
By accessing or using the website you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the website.

1. Concepts
   1. Seller – the natural or legal person specified in the order for products, whose products are sold on the website www.leoochocolatier.com in accordance with these Rules and who is responsible for the execution of the order submitted by the Buyer. The requisites of the seller with whom the purchase-sale agreement of the relevant products is concluded in accordance with these Rules are specified in the products order.
   2. leoochocolatier.com – the website that contains Sellers’ products for sale. Registered address 72 Fielding Road, London, England, W4 1DB. Company is LEOO CHOCOLATIER LIMITED with the Registration Number 16010961. leoochocolatier.com is also understood in these Rules as the Seller in relation to the products it sells.
   3. Buyer – 1) able natural person, i.e. a person who has reached the age of majority, whose capacity is not limited by court order; 2) a minor between fourteen and eighteen years of age who has the consent of his parents or guardians, except in cases where he is emancipated; 3) legal entity.
   4. Parties – Buyer and Seller together.
   5. Personal data – any information about an identified or identifiable natural person (data subject); an identifiable natural person is a person whose identity can be determined directly or indirectly, in particular by an identifier such as a name, a personal identification number, location data and an Internet identifier, or by one or more of that natural person’s physical, signs of physiological, genetic, mental, economic, cultural or social identity.
   6. The rules are the following “Rules for the purchase and sale of products on leoochocolatier.com”, which apply to each purchase made by the Buyer at www.leoochocolatier.com and to each Purchase-Sale Agreement concluded between the Buyer and the Seller.
   7. Account – the result of registration on leoochocolatier.com based on the Rules for the use of www.leoochocolatier.com by the Buyer, which creates a personal account of the Buyer protecting his personal data and order history.
   8. Privacy policy – a document approved by leoochocolatier.com, which provides the basic rules for the collection, storage, processing and storage of Personal Data using leoochocolatier.com. leoochocolatier.com’s privacy policy does not cover the processing of Personal Data when such data is processed by the Seller. The processing of personal data by the Seller is carried out in accordance with the procedure established by the Seller. Before purchasing the products and concluding this contract with the Seller, the Buyer should carefully familiarise himself with the personal data processing policy applied by the Seller.
   9. Agreement – the purchase and sale agreement of the respective Products concluded between the Buyer and the Seller, which is considered to be concluded from the moment the Order is submitted. It is considered that the terms of each Agreement concluded by the Buyer and the Seller are identical to the terms of the Rules valid at the time
2. General Provisions
   1. The buyer approves the Rules after familiarising himself with them. The Rules approved in this way are a binding legal document for the Parties, which determine the rights and obligations of the Buyer and the Seller, the conditions for purchasing and paying for products, the procedure for the delivery and return of products, the parties’ responsibilities and other conditions related to the purchase and sale of products on leoochocolatier.com.
   2. By creating an account at leoochocolatier.com, the buyer confirms the Rules during the first registration. After the Buyer approves the Rules during the first registration (account creation), the Rules apply to all purchases made by the Buyer on leoochocolatier.com and to all Contracts concluded with Sellers until the updated Rules are published on www.leoochocolatier.com. After updating the Rules, they apply from the moment of their publication on www.leoochocolatier.com, and the Buyer is informed about the update of the Rules according to the procedure provided for in point 2.4 of the Rules.
   3. Only buyers, as defined in Clause 1.3 of the Rules, have the right to buy on leoochocolatier.com. By approving the Rules and having familiarised himself with the Privacy Policy and the Rules of use of leoochocolatier.com, the buyer confirms that he has the right to purchase products on leoochocolatier.com
   4. If market conditions change, leoochocolatier.com has the right to change, amend or supplement the Rules. Buyers will be informed about this when logging in to the Account or www.leoochocolatier.com or when creating a shopping cart, but in any case, after the Rules have been updated, the Buyer can place an order only if they familiarise themselves with and approve the new version of the Rules.
   5. The buyer must familiarise himself with leoochocolatier.com’s approved and publicly published Privacy Policy. The Buyer’s Personal Data will also be transferred to the Seller from whom the Buyer purchases the Products, and such Personal Data will be processed in accordance with the procedure established by the Seller specified in the order, as well as in compliance with the security obligations assumed by the contract between leoochocolatier.com and the Buyers regarding the security of personal data.
   6. If the Seller has the right or obligation to provide the Buyer with information or documents by e-mail, in all cases, the Buyer is responsible for providing the Seller with a working e-mail address belonging to the Buyer.
3. Ordering products, the moment of creation of legal relations of purchase & sale
   1. We make every effort to display the product as accurately as possible the colours, features, specifications, and details of the products available on the Site. However, we do not guarantee that the colours, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colours and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.
   2. The buyer can order products on leoochocolatier.com by choosing one of the following methods:
      1. by registering online at leoochocolatier.com (by entering your registration name and password);
      2. by phone;
   3. When ordering products in one of the ways specified in clauses 3.1.1 – 3.1.2 of the Rules, the buyer must indicate in the relevant information fields provided in the leoochocolatier.com system the personal data necessary for the proper fulfillment of the products order, which are processed by leoochocolatier.com in accordance with the Privacy Policy.
   4. Orders for products placed by phone or in the Stores are processed in accordance with the Rules and are subject to the provisions of the Privacy Policy. By placing an order, the Buyer agrees to the Rules and their application.
   5. When the Buyer, after choosing the products or services to be purchased and creating a basket of products, completes all the steps of the order, the last of which is the selection and confirmation of the payment method, it is considered that a purchase-sale legal relationship has arisen between the Seller and the Buyer and a purchase-sale contract has been concluded. The Buyer is informed about the confirmation of the order by sending a message to the e-mail specified by the Buyer. The Seller sends the Buyer a link to the valid Rules together with the order confirmation to the e-mail address specified by the Buyer.
   6. The instructions for the products ordered by the Buyer are provided in England no later than at the time of delivery of the products to the e-mail address specified by the Buyer. All essential information about the product and its features is provided in the Seller’s product description on leoochocolatier.com. When purchasing products in physical leoochocolatier.com stores, the product instructions, if necessary depending on the nature of the product, will be provided together with the product.
   7. Each order of the Buyer is stored in leoochocolatier.com and the Seller’s database in accordance with the procedure established in their privacy policy.
4. Buyer’s Rights
   1. The buyer has the right to purchase products and order services on leoochocolatier.com in accordance with the procedure established by these Rules.
   2. The buyer has the right to refuse the order in accordance with the procedure established by these Rules.
   3. The buyer has the right to withdraw from the Agreement in accordance with the procedure established by these Rules.
5. Obligations of the Buyer
   1. The buyer, using leoochocolatier.com, must fulfill his obligations, comply with these Rules, the Privacy Policy, the rules of use of leoochocolatier.com, other conditions clearly indicated on leoochocolatier.com, and not violate the law of England.
   2. The buyer must pay for the ordered products or services and accept them in accordance with the procedure established by these Rules.
6. Seller’s Rights
   1. The Seller and leoochocolatier.com have the right to cancel the Buyer’s order without prior notice, if the Buyer, having chosen the payment methods provided for in clause 9.2 of the Rules, does not pay for the products within 3 (three) working days.
   2. When the Buyer chooses the payment method provided for in Clause 9 of the Rules, the Seller has the right to contact the Buyer with the requisites specified in the order in the event of ambiguities regarding the information provided in the order through leoochocolatier.com. In this case, the term of delivery of the products starts counting from the day of contact with the Buyer. The Buyer’s order may be canceled without prior notice if: i) if the Seller fails to contact the Buyer within 2 (two) business days after placing the order, or ii) if the Buyer does not provide the Seller with the requested information within the deadline specified by the Seller, or iii) if the Buyer does not provide the Seller with consent in person for data verification.
7. Obligations of the Seller
   1. The Seller undertakes to carry out the Buyer’s orders in accordance with the procedure set out in these Rules and to communicate with the Buyer using the means of the leoochocolatier.com website (when the order was submitted in the manner provided for in point 3.1.1) or through the Buyer’s contact data specified by the Buyer (when the order was submitted in one of the methods provided for in clauses 4).
   2. The Seller undertakes to provide the Buyer with information in a clear and comprehensible manner in the leoochocolatier.com system.
   3. The seller and leoochocolatier.com undertake to respect the Buyer’s privacy, to process the Buyer’s personal data only in accordance with the Rules, Privacy Policy, rules of use of leoochocolatier.com and the procedure established by the legislation of England and the European Union.
   4. leoochocolatier.com undertakes to inform the Buyer before placing the order about the suspension or termination of functions of leoochocolatier.com that are significant for the fulfillment of the order. Providing information in the leoochocolatier.com Account or on the leoochocolatier.com e-commerce website is considered appropriate notification. When the Buyer’s order has already been accepted for execution, the Buyer is informed about the suspension or termination of functions of leoochocolatier.com that are significant for the fulfillment of this order through one of the contact details specified by the Buyer (by phone, SMS message or e-mail).
   5. Under the conditions stipulated in the rules, the Seller undertakes to provide the products ordered by the Buyer and to accept the products returned by the Buyer.
   6. In exceptional cases, in the event of objectively justified circumstances, which the Seller could not foresee and control in advance, the delivery of the products may be delayed or become impossible. In this case, the Seller undertakes to immediately contact the Buyer regarding the possibilities of further execution of his order. The Seller can offer the Buyer a similar or analogous product that is sold by another Seller by informing about it through one of the contact details specified by the Buyer (by phone, SMS message or e-mail). If the Buyer does not consent to the replacement of a specific Seller’s product by a similar or analogous product sold by another Seller, the Seller, who cannot deliver the product chosen by the Buyer, undertakes to immediately return the money paid by the Buyer to the Buyer no later than within 5 days, if prepayment was made, and in all cases to cancel order.
   7. In the event that, within 3 (three) working days from the submission of the offer, the Buyer has confirmed with one of the contacts indicated on the leoochocolatier.com e-commerce website that he agrees that the product should be replaced by a product sold by another Seller, the original Seller undertakes to return to the Buyer the funds he paid for an item that cannot be delivered by the original Seller.
   8. The Seller, not agreeing to the Buyer’s requirements, must provide the Buyer with a detailed, motivated written answer no later than within 14 (fourteen) calendar days from the date of receipt of the Buyer’s application, unless otherwise stipulated by the legislation of England and the European Union.
   9. The Seller undertakes to fulfill other obligations imposed on the Seller in the Rules and legal acts.
8. Delivery
   1. Delivery will be made to the address specified by the customer when completing the online order form. Deliveries received before 3.00 pm will be processed within 2 working days’ time.
   2. The costs of delivery will be as displayed to you on our website, our delivery policy here explains our website’s delivery terms.
      1. Currently, the delivery charges are £8.00 for the first 500 gm, followed by £4.00 for every 500 gm for the mainland UK. For Northern Ireland, some of the far away places in Scotland, the delivery charge is £12.00 for the first 500 gm followed by £4.00 for each 500 gm. Free Delivery is offered for larger quantities and they are usually displayed in the Home page.
   3. Leoo Chocolatier delivery and collection times are subject to availability.
   4. Leoo Chocolatier shall use their reasonable endeavours to meet any date agreed for delivery. You have legal rights if we deliver any goods late. If we miss the delivery deadline for any goods, then you may treat the contract at an end immediately if any of the following apply:
      1. we have refused to deliver the goods;
      2. delivery within the delivery deadline was essential (considering all the relevant circumstances); (or)
   5. you told us before we accepted your order that, delivery within the delivery deadline was essential.
   6. If you do choose to treat the contract as at an end for late delivery, you can cancel your order for any of the goods or reject goods that have been delivered.
   7. If there is no one to receive the delivery at the specified address at the time of your scheduled delivery, we reserve the right to return your order to our store and to charge a delivery charge for re-delivery.
   8. If Leoo Chocolatier receives no communication from you, within 24 hours of delivery, regarding any problems with the goods, you are deemed to have accepted and received the goods.
9. Purchases & Payment
   1. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in GBP.
   2. We accept the following forms of payment:
      – Visa
      – Mastercard
      – American Express
   3. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. If your order is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
   4. We reserve the right to refuse any order placed through the Site. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
   5. We reserve the right to refuse any order placed through the Site if system or human error was exploited to gain access to discounts, promotions or any other special pricing options. These restrictions including but not limited to exploitation of user roles, user groups, special offers, discount codes and voucher codes.
10. Accounts
    1. When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
    2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
    3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
11. Intellectual Property

    The Service and its original content, features and functionality are and will remain the exclusive property of Leoo Chocolatier and its licensors.

12. Termination
    1. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
    2. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
    3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
13. Changes

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

    By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

15. Governing Law

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
